1. Agreement to Terms

By accessing or using CortexaOS (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Platform.

2. Description of Service

CortexaOS provides an AI-powered business operating system for small and mid-size businesses, including AI specialist chat, CRM tools, project management, workflow automation, and related features (collectively, the “Service”). The Service is provided on a subscription basis.

3. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@cortexaos.com if you suspect unauthorized access.

You must be at least 18 years old to use the Service. The Service is not intended for use by minors.

4. Subscriptions and Billing

Pricing: The current pricing is $149/month for the first seat and $49/month for each additional seat, or discounted annual rates. Prices are subject to change with 30 days' notice.

Free trial: New accounts receive a 14-day free trial with full access. No credit card is required to start. At the end of the trial, a subscription is required to continue.

Billing: Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as stated in our refund policy.

Refund policy: We offer a 30-day money-back guarantee on your first payment. Contact hello@cortexaos.com within 30 days of your first charge.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. AI Usage and Token Budget

Each subscription includes a pooled monthly AI compute budget shared across all seats on your team ($20/seat). Usage is measured in Token Equivalent Units (TEUs). If your team exceeds the monthly pool, AI features may be limited until the next billing period or until additional credits are purchased. CortexaOS does not guarantee specific AI output quality, accuracy, or fitness for any particular purpose — AI recommendations are for informational purposes only and should not replace professional legal, financial, or other expert advice.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law
Attempt to reverse engineer, decompile, or extract the underlying AI models or proprietary systems
Use the Service to generate content that is defamatory, harassing, fraudulent, or harmful
Circumvent any rate limits, access controls, or usage restrictions
Resell, sublicense, or redistribute access to the Service without written permission
Use automated scripts to scrape or extract data from the Service

7. Your Content

You retain ownership of all content you submit to the Service (“Your Content”). By submitting content, you grant CortexaOS a limited license to process, store, and use Your Content solely to provide the Service. We do not claim ownership of Your Content and will not use it for any purpose beyond operating the Platform without your consent.

8. Intellectual Property

CortexaOS and its licensors retain all rights to the Platform, including software, design, trademarks, and proprietary AI configurations. Nothing in these Terms grants you any rights to CortexaOS's intellectual property beyond the limited right to use the Service as described herein.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CORTEXAOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. AI-GENERATED CONTENT IS NOT LEGAL, FINANCIAL, MEDICAL, OR PROFESSIONAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEXAOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL CORTEXAOS'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or if we reasonably believe continued access poses a risk to the platform or other users. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

13. Changes to Terms

We may modify these Terms at any time. We will provide 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
