Terms of Service — CortexaOS

1. Agreement to Terms

By accessing or using CortexaOS (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Platform.

2. Description of Service

CortexaOS provides an AI-powered business operating system for small and mid-size businesses, including AI specialist chat, CRM tools, project management, workflow automation, and related features (collectively, the “Service”). The Service is provided on a subscription basis.

The AI receptionist. The Service includes Katherine, an AI receptionist who answers calls to a phone number you direct to us. She tells every caller at the start that she is an AI assistant and that the call is recorded. What is said on a call is written down and kept, and a voicemail is recorded; how long each is kept, and how to have one deleted, is in our Privacy Policy. She is offered to businesses in the United States only, and she is not a telephone service and carries no emergency calling. The full terms for her are section 16 of the Master Services Agreement.

3. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@cortexaos.ai if you suspect unauthorized access.

You must be at least 18 years old to use the Service. The Service is not intended for use by minors.

4. Subscriptions and Billing

Pricing: CortexaOS offers four subscription tiers at promotional annual rates: (1) Starter at $149/month (1 seat, regular $199/month); (2) Operator at $249.99/month (up to 5 seats, regular $299.99/month); (3) Team at $399/month (up to 10 seats, regular $499/month); (4) SMB Enterprise (up to 100 seats, custom pricing — contact us). All annual plans may be billed month-to-month at a 10% premium (Starter $163.90/mo, Operator $274.99/mo, Team $438.90/mo). Customers who sign an annual contract may lock in the current promotional rate for up to three consecutive annual terms with no price increases guaranteed. Customers may cancel before any annual renewal date and owe nothing beyond the current term. Month-to-month pricing is not eligible for the 3-year lock-in and is subject to change with 30 days' notice. A Consulting, Training & Integration Pack is available as an add-on for $1,299 per 10-hour pack.

The AI receptionist on her own: Katherine is also sold by herself, without a CortexaOS plan, for $49/month. That includes 150 minutes of calls each month; each minute past that is billed at $0.30.

Free trial: New CortexaOS accounts receive a 14-day free trial with full access. No credit card is required to start. At the end of the trial, a subscription is required to continue. Katherine's own plan starts with a 7-day free trial instead. We take a card when you sign up for it and charge nothing until the trial ends; cancel before then and the monthly price is never charged. The first 100 minutes she answers are free. If she answers more than that during the trial, the extra minutes are billed at $0.30 each.

Billing: Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as stated in our refund policy.

Paying by card: If you pay for a CortexaOS plan by credit or debit card, a 3% card processing fee is added to each charge. Paying by bank account carries no fee.

Refund policy: We offer a 30-day money-back guarantee on your first payment. Contact hello@cortexaos.ai within 30 days of your first charge.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. AI Usage and Token Budget

Each subscription includes a pooled monthly AI compute budget shared across all active seats on your team. Usage is measured in Token Equivalent Units (TEUs). If your team exceeds the monthly pool, AI features may be limited until the next billing period or until additional seats are added to increase the pool. CortexaOS does not guarantee specific AI output quality, accuracy, or fitness for any particular purpose — AI recommendations are for informational purposes only and should not replace professional legal, financial, or other expert advice.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law
Attempt to reverse engineer, decompile, or extract the underlying AI models or proprietary systems
Use the Service to generate content that is defamatory, harassing, fraudulent, or harmful
Circumvent any rate limits, access controls, or usage restrictions
Resell, sublicense, or redistribute access to the Service without written permission
Use automated scripts to scrape or extract data from the Service
Use the AI receptionist to call anyone who has not given the permission the law requires for an automated or AI-voiced call

Saying it was made by AI. If you publish something the Service generated for you — a post, an advert, an image, a reply to a review — you are responsible for labelling it as AI-generated wherever a law or the rules of the site you publish it on require that. If you use the AI receptionist, you are also responsible for any state law that requires you to tell people they are dealing with an AI, or to get their consent to a call, beyond the notice she gives at the start of every call.

Calls you place are yours. If you use the AI receptionist to make sales calls, you are the seller making them. Several states require a seller to register as a telemarketer and post a surety bond first, and some do not exempt calls made business to business. Obtaining any registration, bond or licence your calling requires is your responsibility.

7. Your Content

You retain ownership of all content you submit to the Service (“Your Content”). By submitting content, you grant CortexaOS a limited license to process, store, and use Your Content solely to provide the Service. We do not claim ownership of Your Content and will not use it for any purpose beyond operating the Platform without your consent.

What the Service generates for you — drafts, reports, images, and what the AI receptionist says and writes on your behalf — is yours too, to the extent we have any rights in it. The Platform that produced it stays ours, as section 8 says.

8. Intellectual Property

CortexaOS and its licensors retain all rights to the Platform, including software, design, trademarks, and proprietary AI configurations. Nothing in these Terms grants you any rights to CortexaOS's intellectual property beyond the limited right to use the Service as described herein.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CORTEXAOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. AI-GENERATED CONTENT IS NOT LEGAL, FINANCIAL, MEDICAL, OR PROFESSIONAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEXAOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL CORTEXAOS'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or if we reasonably believe continued access poses a risk to the platform or other users. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

12. Class Action Waiver

YOU AND CORTEXAOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. No arbitrator or judge may consolidate more than one person's claims or preside over any class or representative proceeding without the written consent of all parties.

13. Force Majeure

CortexaOS shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government action, internet outages, cyberattacks, or disruptions to third-party AI providers (such as the Anthropic Claude API). If such an event continues for more than 60 days, either party may terminate with no further liability.

14. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any dispute not resolved through negotiation shall be submitted to binding arbitration under AAA Commercial Arbitration Rules in Bexar County, Texas. Either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. We will provide 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
